Must an association or foundation file annual accounts?
Boards of associations and foundations often ask themselves the same question: do we have to put our annual accounts in the trade register? The answer is as a rule no, with two exceptions worth knowing about.
When is it required?
KVK names an association or foundation with a business that in two consecutive financial years had turnover of at least € 7.5 million a year. In that case the filing obligation does apply. If you are well below that — and that applies to nearly every association and foundation — no annual accounts need to go to KVK. The full list of legal forms is at KVK: annual accounts: to file or not.
Director liability exists here too
Even without a filing obligation, directors remain liable for what they do. In a bankruptcy the court looks at how the organisation was managed — and then financial reporting that adds up is the difference between explaining and having to explain. The separate duty for ANBIs
If you are an institution for general benefit (ANBI), you have a publication duty that is separate from filing with KVK. It has applied since 1 January 2014 and concerns data you publish on a website. What exactly must be published is set out at the Belastingdienst page about ANBIs.
Do not confuse the two: the ANBI publication is not a filing, and meeting one obligation says nothing about the other.
What a board does need
Even without an obligation, financial reporting is no luxury. Members, donors, sponsors and grant providers ask for figures, and grants often come with conditions about how you account for them. Simple annual accounts — a balance sheet, a statement of income and expenditure and short notes — are enough for that.
- Does the board decide on spending above a certain amount? Then you want the figures to show that.
- Is there a cash fund? Then a cash count that adds up is the basis of your reporting.
- Are there several board members? Record who closes the figures and where they are kept.
- Do you receive a grant? Read the conditions: they often prescribe a form of reporting.
For an association or foundation with a small operation that is perfectly doable yourself. The work is mainly in keeping the records during the year; closing them is then a matter of an afternoon. See also how long you keep those documents.
