Sole trader annual accounts: required?
Short answer
No. A sole trader does not have to file annual accounts with KVK and does not have to prepare them under Title 9 of Book 2 of the Dutch Civil Code. You do have a duty to keep records, and for your income tax return and for the bank a balance sheet and profit and loss account are indispensable in practice.
A sole trader is not a legal entity. As a result, the annual accounts law of Title 9 of Book 2 of the Dutch Civil Code does not apply by force of law and you do not have to file anything with KVK. At the same time you do need the figures — for your tax return, your bookkeeping and often also for the bank.
What is mandatory and what is not?
| Item | Sole trader |
|---|---|
| Keeping records | Yes — you are obliged to keep records and must keep your data for 7 years. |
| Balance sheet and profit and loss account | Not required by law, but needed in practice for the profit in your tax return. |
| Notes and accounting policies | Not mandatory. However sensible: they make your figures easier to explain. |
| Filing with KVK | No — there is no filing obligation. |
| Signing by a director | Not prescribed; you sign as the business owner. |
Why you still want to prepare annual accounts
The Belastingdienst (Dutch Tax and Customs Administration) asks for the profit from your business in the income tax return. A balance sheet and profit and loss account substantiate that profit and make it traceable — in an audit that is the first thing asked for.
In addition, annual accounts are the calling card of your business: for financing, a lease, a mortgage or the sale of your business, the other party wants to see figures that are correct and that you can explain.
What goes in?
- Balance sheet with your assets (business assets, inventories, receivables, bank and cash) and your liabilities.
- Your equity: the capital, increased by your contributions and the result, reduced by your drawings.
- Profit and loss account with turnover, cost of purchases, expenses and depreciation.
- Notes for each item, with the valuation policies you have used.
Private and business
Keep track of your private withdrawals and contributions. They do not affect your result, but they do affect your equity — and therefore your balance sheet. Without that record your equity will not reconcile. What is different from a BV?
| Subject | Sole trader | BV |
|---|---|---|
| Tax on profit | Income tax (box 1), with the entrepreneurs' allowance | Corporation tax |
| Equity | Capital with contributions and drawings | Share capital, share premium, reserves |
| Appropriation of profit | The result goes to your equity; no dividend resolution | Proposal to the general meeting, dividend possible |
| Publishing | No filing obligation | Filing with KVK mandatory |
What should you watch out for?
- Include only business assets; private property does not belong on the balance sheet.
- The entrepreneurs' allowance (such as the self-employed person's allowance) belongs in your tax return, not in the annual accounts.
- Depreciate business assets using a fixed, consistent policy.
- Only include a provision on the balance sheet if there is a concrete obligation.
- Keep your bookkeeping for 7 years — including the annual accounts themselves.
